Terms and Conditions of Service

1. Introduction and Acceptance of Terms

Welcome to Golden Star (“Golden Star,” “we,” “us,” or “our”). We provide a range of third-party services to hotels, resorts, villas, and hospitality businesses (“Client” or “you”) in Sri Lanka. By accessing, using, or engaging with our services, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not use our services.

2. Description of Services

Golden Star offers various services, which may include, but are not limited to, housekeeping, maintenance, and staffing solutions. The specific services provided to a Client will be detailed in a separate service agreement or proposal. We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

All fees for our services will be outlined in the individual service agreement. Payments are due according to the schedule specified in that agreement. In the event of late payment, Golden Star reserves the right to suspend or terminate services until the outstanding amount is paid in full. All prices are in Sri Lankan Rupees (LKR) unless otherwise specified.

5. Intellectual Property

All materials, content, and intellectual property provided by Golden Star in the course of our services remain our sole property. The Client is granted a limited, non-exclusive, non-transferable license to use these materials solely for the purpose of receiving our services.

6. Confidentiality

Both Golden Star and the Client agree to maintain the confidentiality of all proprietary and confidential information exchanged during the course of our relationship. This obligation shall survive the termination of services.

7. Limitation of Liability

Golden Star shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services, even if we have been advised of the possibility of such damages. Our total liability to you for any and all claims shall not exceed the amount paid by you for the services during the six (6) months preceding the claim.

8. Disclaimer of Warranties

Our services are provided on an “as-is” and “as-available” basis without any warranties of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our services will be uninterrupted, error-free, or secure.

9. Indemnification

You agree to indemnify and hold harmless Golden Star, its employees, agents, and affiliates from and against any and all claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Sri Lanka.

11. Termination of Services

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the services will immediately cease.

12. Changes to these Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on our website or through direct communication. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
